By accessing or using the Partners to Parenthood platform ("Services") operated by Pathways to Parenthood Inc. ("PtP," "we," "us," or "our"), you agree to be bound by these Terms of Use. If you do not agree to these terms, you may not use our Services.

2. Eligibility

You must be at least 18 years old to use our Services. By using our platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

6. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, software, and data compilations, are the exclusive property of PtP or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.

TO THE FULLEST EXTENT PERMITTED BY LAW, PTP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless PtP and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Services or violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in New York County, New York.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through our platform. Your continued use of the Services after such changes constitutes acceptance of the new Terms.
